This is a great time to assess how good a fit we are for each other. Do you like me? Am I the person to take your business forward? Does it work for both of us?
Financials and valuation
If we’re both happy to move forward, I’ll need some financial information to review the performance of the business and arrive at a valuation. I’m transparent about the deal structure, funding, and how I value a business. I can come back to you quickly following the analysis of the accounts, usually within a week.
Heads of terms
Together, we’ll agree the key terms of the deal up front in a heads of terms document. This includes an agreement on price, deal structure, the due diligence process, and a timetable to completion.
I’ll send you a request for key information about the financial and operational performance of the business – it’s important I get to know the ins and outs so there is a smooth transition. You’ll likely need some legal support to help you manage this and agree the documentation for the deal.
The documents are signed and the deal is done!
It’s done! Congratulations. All that’s left to do is hand over key operational information, liaise with stakeholders, and transition out of the business. I’ll take it from here and work closely with the management team going forward.

The most important part is finding the ideal target. There’s a list of criteria I need to consider before starting the search. The answer is not on a broker’s website; it has to be bespoke to you.
Then it’s about building a qualified list of targets that meet your criteria. I approach targets confidentially and off-market. That’s where the magic happens.
Now it’s about bringing it across the line. Deal structuring, heads of terms, forecasting, legal agreements – there’s a lot to think about. I will manage it all, working closely with you to ensure a smooth process.
